What is a Due Diligence?
A due diligence is typically performed in the course of an M&A transaction and provides insights into the risks associated with the transaction. As the risks can derive from various areas, one distinguishes into various forms of due diligence.
Typical Process
All relevant data, such as contracts, patents, annual reports are provided in a so called data room. Depending on the needs auditors, attorneys, tax specialists and experts evaluate the provided data against the various risks. Eventually, a detailed due diligence is being produced.
