Proventis Partners advised H&H

Munich, 12 January 2023 – Shareholders of the leading provider of municipal finance software, H&H Datenverarbeitungs- und Beratungsgesellschaft, advised by Proventis Partners on the sale to the Norwegian software group Visma.

The transaction

The shareholders of H&H have taken on an investor, Visma, to be able to offer municipalities in Germany both a larger service portfolio in the future and to ensure the transition to the cloud. Visma is Europe’s leading provider of mission-critical cloud software for SMEs (small and medium-sized enterprises) and offers software solutions for the public sector.

In the transaction process led by Proventis Partners as M&A advisor, a majority stake was sold to Visma as part of a share deal; a minority stake remains with the two managing directors, who will continue to drive the company’s growth. The company will remain independent after the sale, though will be able to access Visma’s software infrastructure in many areas, such as cyber security or cloud conversion.

This is Visma’s second investment in Germany, following the acquisition of BuchhaltungsButler at the end of 2022.

The role of Proventis Partners

Proventis Partners acted as exclusive M&A advisor to the shareholders in the preparation and realization of the transaction. In addition to the running of a structured sales process, the advisory services included the preparation of marketing and transaction documents, identification and approaching of potential investors including management presentations as well as support in the due diligence and negotiation of the transaction.
