Proventis Partners exclusively advises premium parasol manufacturer Caravita on sale to WAREMA Group.

Warema Group develops, produces and distributes sun shading products for more than 60 years and acquires 100% of the shares of Caravita Europe s.r.o., Slovakia and the main assets of Michael Caravita GmbH, Germany, a manufacturer of premium parasols and sun sails.

Corporate succession realised

Proventis Partners acted as exlusive M&A advisor to Caravita Group and its shareholder, Mr. Michael Caravita in the course of corporate succession. In this process, Proventis Partners advised on the selection of prospective buyers, prepared the company documentation, contacted selected strategic investors, evaluated purchase proposals and advised on contract negotiations regarding deal structure and evaluation. By handing over the company to Warema, a medium-sized company with high-quality standards, the requirements of Caravita Group’s shareholder were fully met. The Munich-based team, Rainer Wieser, Partner and Julian Haag, Analyst, advised on the transaction.

Strategic transaction background

Caravita Group has been growing continuously since its foundation in 1993 and reached revenues of approximately EUR 4 m. in 2016. In the course of succession planning, founder and sole shareholder Michael Caravita seeked an investor, who satisfies his high-quality standards in product development and who allows an employee handover in good conscience. In Warema Group, a buyer was found that is known in the market as highly innovative company with high-quality products.
