“SCIO acquires all shares of Aqua from the previous main shareholder Bilfinger GreyLogix GmbH. The two managing partners of Aqua will remain shareholders in the company. The company will operate under the brand name VESCON AQUA GmbH and will be integrated into SCIO. With the takeover of the company, SCIO expands its customer portfolio and enters into new sectors. At the same time, it strengthens its automation and programming know-how in the process technology environment and sets the course for further growth in a future-oriented and sustainable environment such as drinking water treatment and wastewater systems.
Aqua was founded in 1998 by Olaf Kremsier and has been part of the Bilfinger Group as a subsidiary of Bilfinger GreyLogix GmbH since 2013. The company focuses on PLC and process control technology for drinking water and wastewater treatment plants, mainly for customers in the public sector. Aqua acts as a system integrator with a focus on project management and specialized automation and programming services.
SCIO Automation GmbH was founded as a medium-sized platform in the field of Industrial Automation Technology as well as complementary value-added Services in January 2019. It comprises niche specialists with decades of experience in their respective fields of activity. Customers come from the Automotive, Intralogistics, Chemical, Clean Rooms and Electronics, Life Science and Medical Technology industries as well as Energy and Environmental Technology sectors.
Proventis Partners advised Bilfinger and the two managing partners during the entire M&A process. The services included the preparation of the entire transaction documentation, the identification and approach of suitable investors, the coordination of the due diligence and the commercial negotiation of the transaction.”
