Proventis Partners acts as exclusive advisor to the shareholders of PRONAV-Group on the successfully realized company succession

Hamburg, 20.02.2018 – Proventis Partners exclusively advised the shareholders of PRONAV- Group (,PRONAV”), a specialized manager of LNG vessels in the course of a corporate succession.

The Transaction

The Schulte Group acquired 100 percent of the shares of the PRONAV-Group, a Hamburg based specialist in Liquid-Natural-Gas (“LNG”) shipping. With this acquisition the Schulte Group is strengthening its engagement in LNG-shipping as it is taking over a highly qualified team for the technical management and crewing of LNG vessels as well as management contracts for six LNG-tankers. Four of these vessels are partly owned by PRONAV, which will continue to operate under its company name.

The Role of Proventis Partners

Proventis Partners initiated the acquisition by the Schulte Group as exclusive M&A advisor to the shareholders of PRONAV. Amongst others, Proventis Partners approached suitable potential international investors, drafted a detailed company profile and coordinated the due-diligence process. Furthermore, Proventis Partners structured the transaction and negotiated the commercial conditions of the realized share deal.

Founded in 1995, PRONAV consists of PRONAV Ship Management GmbH & Co. KG and PRONAV Schiffahrtsberatung GmbH & Co. KG. It is a LNG shipping company which is fully independent from energy suppliers and off-takers. The Hamburg based company has an excellent reputation in the market and is accepted at most LNG terminals worldwide. PRONAV Ship Management offers all essential elements for success in the LNG value chain, including financing support, technical management as well as project management. PRONAV Schiffahrtsberatung owns all necessary certificates to operate a crewing business in the LNG sector. Currently, PRONAV has six LNG tankers under management.

Schulte Group acts as a ship owner and shipping company. It owns about 100 vessels (mainly, container, tanker and bulker) and manages 600 vessels in all segments. The company offers management services for 24 LNG vessels in its LNG shipping department. Additionally, it recently ordered a LNG bunker vessel as well as a 174,000 cbm LNG tanker which are both going to become part of Schulte Group’s fleet in 2018.
